Please read these Terms of Service (“Terms”) carefully before using ChurnWire. These Terms constitute a legally binding agreement between you and ChurnWire (“we”, “us”, or “our”) governing your use of our website at churnwire.com and our churn detection service (the “Service”).

1. Acceptance of Terms

By accessing or using ChurnWire, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. You represent that you are at least 18 years of age and have the legal authority to enter into these Terms.

2. Description of Service

ChurnWire is a software-as-a-service (SaaS) churn detection tool that connects to your Stripe account via OAuth to analyse subscription and payment data. The Service identifies customers at risk of churning and provides actionable insights through a web-based dashboard and daily email digests.

The Service is offered as a monthly subscription at $49 per month, with a 14-day free trial. No credit card is required to start the free trial.

3. Account Registration

To use ChurnWire, you must:

• Provide a valid email address for authentication and communication.
• Maintain one account per individual. Shared or duplicate accounts are not permitted.
• Keep your account credentials secure. You are responsible for all activity that occurs under your account.
• Notify us immediately at [email protected] if you suspect unauthorised access to your account.

We use magic link authentication. You are responsible for maintaining access to the email address associated with your account.

4. Stripe Connect Authorisation

4.1 Granting Access

By connecting your Stripe account to ChurnWire, you authorise us to access your Stripe account data in read-only mode via Stripe Connect OAuth. This includes subscription events, payment failures, customer information (names, emails), card metadata (brand and last 4 digits), and invoice data.

4.2 Scope of Access

We cannot and will not:

• Charge your customers or process payments on your behalf
• Modify, cancel, or create subscriptions
• Issue refunds
• Access your bank account details, balances, or payout information
• Perform any write operations on your Stripe account

4.3 Revoking Access

You can revoke ChurnWire’s access to your Stripe account at any time by:

• Disconnecting from within the ChurnWire dashboard, or
• Revoking access directly from your Stripe dashboard under Connected Accounts.

Upon disconnection, all associated Stripe data is deleted within 24 hours as described in our Privacy Policy.

5. Payment Terms

• Pricing: The Service is billed at $49 per month, charged monthly via Stripe.
• Free trial: New accounts receive a 14-day free trial. No credit card is required to begin the trial.
• Billing: After the trial period, your subscription will begin upon providing payment details. You will be billed on the same date each month.
• Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds are provided for partial billing periods.
• Price changes: We will provide at least 30 days’ notice before any price changes take effect.

6. Acceptable Use

You agree not to:

• Abuse, overload, or interfere with the Service or its infrastructure, including excessive API calls beyond normal usage patterns.
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to circumvent, disable, or interfere with any security features of the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to collect data about third parties without their consent or in violation of applicable privacy laws.
• Share your account credentials with others or allow multiple individuals to use a single account.
• Resell, sublicense, or redistribute the Service without our prior written consent.

We reserve the right to suspend or terminate your account if we reasonably determine that you have violated these terms.

7. Data Ownership

• Your data: You retain full ownership of all data you provide to ChurnWire and all data accessed from your connected Stripe account. We do not claim any ownership rights over your Stripe data.
• Export: You may export your data (including churn scores and reports) via CSV at any time from the dashboard.
• Deletion: You may request deletion of your data at any time by deleting your account. All data will be permanently removed within 30 days as described in our Privacy Policy.
• Our data: We retain ownership of aggregate, anonymised data that does not identify you or your customers, which we may use to improve the Service.

8. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is the intellectual property of ChurnWire and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.

9. Service Availability

We strive to maintain high uptime and reliability, but we do not guarantee that the Service will be available 100% of the time. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice when possible)
• Unscheduled downtime caused by technical issues
• Stripe API outages or disruptions, which are outside our control
• Force majeure events

We are not liable for any losses or damages arising from Service unavailability.

10. Limitation of Liability

ChurnWire provides churn risk indicators and analytical insights based on your Stripe data. These are informational tools and do not constitute guarantees, predictions, or professional advice.

• We are not liable for any business decisions you make based on churn scores or data provided by the Service.
• We are not responsible for the accuracy of data received from the Stripe API.
• To the maximum extent permitted by law, our total liability to you for any claims arising from your use of the Service is limited to the total fees you have paid to ChurnWire in the 12 months preceding the claim.
• In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

11. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Termination

12.1 By You

You may terminate your account at any time by cancelling your subscription and deleting your account from the dashboard, or by contacting us at [email protected].

12.2 By Us

We may suspend or terminate your account at any time if:

• You breach these Terms
• You engage in fraudulent or illegal activity
• Your account poses a security risk to the Service or other users

We will make reasonable efforts to provide notice before termination, except where immediate action is necessary for security or legal reasons.

12.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. Your data will be deleted in accordance with our Privacy Policy, including deletion of Stripe data within 24 hours and all remaining data within 30 days.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days’ notice via email to the address associated with your account before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
